Terms and conditions for The Yorkshire Hut Co. Ltd
1. Definitions
In these Terms and Conditions, the following definitions apply:
"Company" means The Yorkshire Hut Co. registered in England and Wales.
"Customer" means the individual or organisation who purchases goods from the Company.
"Goods" means the articles specified in the Customer's order.
"Contract" means the contract between the Company and the Customer for the sale and purchase of Goods incorporating these Terms and Conditions.
2. Conditions
All orders for Goods shall be deemed to be an offer by the Customer to purchase Goods pursuant to these Terms and Conditions. The Contract shall be formed when the Company accepts the Customer's order.
3. Price and Payment
The price of the Goods shall be the Company's quoted price or, where no price has been quoted, the price listed in the Company's price list current at the date of acceptance of the order.
The Customer shall pay a deposit of 20% of the price at the time of placing the order and a 30% deposit before commencement of work. The balance shall be paid prior to delivery or collection of the Goods.
If the Customer fails to make any payment on the due date, then without prejudice to any other right or remedy available to the Company, the Company shall be entitled to cancel the Contract or suspend any further deliveries to the Customer.
4. Delivery
Delivery of the Goods shall be made to the Customer's address specified in the order.
Any dates quoted for delivery of the Goods are approximate only and the Company shall not be liable for any delay in delivery of the Goods howsoever caused.
Risk of damage to or loss of the Goods shall pass to the Customer at the time of delivery or, if the Customer wrongfully fails to take delivery of the Goods, the time when the Company has tendered delivery of the Goods.
5. Title and Risk
The Goods shall be at the risk of the Customer from the time of delivery.
Ownership of the Goods shall not pass to the Customer until the Company has received in full all sums due in respect of the Goods and all other sums which are or which become due to the Company from the Customer on any account.
6. Warranties and Liability
The Company warrants that the Goods will correspond with their specification at the time of delivery and will be free from defects in material and workmanship for a period of 12 months from delivery.
The Company shall not be liable to the Customer for any loss of profit, loss of business, depletion of goodwill or any indirect or consequential loss or damage which arises out of or in connection with the Contract.
7. Cancellation and Returns
Orders for Goods may be cancelled by the Customer by giving written notice to the Company within 7 days of placing the order.
The Company may cancel the Contract at any time before the Goods are delivered by giving written notice to the Customer. On giving such notice the Company shall promptly repay to the Customer any sums paid in respect of the price.
8. Force Majeure
The Company shall not be liable for any failure or delay in performing its obligations under the Contract to the extent that such failure or delay is caused by a Force Majeure Event.
9. General
These Terms and Conditions and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the law of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms and Conditions.
